After successful test-market results, the office will head the launch of Warning Magazine's new nationwide college issue, and soon launch Warning Models New York. Dean Wiltshire has been appointed COO of the New York operation, and Norma Quinto has been appointed Creative Director of WNMI.

(Other OTC:WNMI.PK - News), a multi-facetted company devoted to visual marketing, advertising, event promotion and assisting small- to medium-size businesses announced today that it has made certain organizational changes that are intended to reduce certain operating expenses, improve operating efficiency, and strengthen its core businesses.

As part of these changes, Brian Bonar, CEO of Warning, has resigned as CEO of Warning. John Capezzuto, a director and COO of Warning, was appointed CEO of Warning, effective January 1, 2007. ``We are pleased that Mr. Capezzuto, a seasoned industry specific executive, has accepted this position. We believe this organizational change will enable Warning to focus on its core competencies,'' said Brian Bonar, Warning's Chairman and former CEO. ``We anticipate that Warning's growth through its divisions and future acquisitions will be quite dramatic in the coming year.''

Mr. Capezzuto served as the President of the Solvis Group, formerly Quik Pix Inc., a publicly traded company, since its inception. Mr. Capezzuto resigned as President/CEO in May of 2005. (Other OTC:WNMI.PK - News) and All Staffing Inc. today announced that they have mutually agreed to rescind their binding letter of intent for the acquisition of all of the outstanding shares of capital stock of All Staffing Inc., a Tennessee corporation, by Warning Management Services Inc.

John Capezzuto, COO of Warning, said, ``Although the independent audit of All Staffing has not yet been completed, and my initial findings were that All Staffing could have been a valuable addition to the Warning family of companies. However, we do not feel, at this time, that funds would be readily available for Warning to complete the transaction. Additionally, upon review of the potential conversion factors held by debenture holders, we felt it necessary to inform All Staffing of the ''down side`` of the conversions. Therefore, Warning and All Staffing have mutually agreed to halt negotiations''

Warning Models Take Center Stage as tag+ Jeans and Gold Hawk Debut Their Fall Fashion Lines

(Other OTC:WNMI.PK - News), today announced that it's models have been exclusively chosen to debut tag+ jeans and Gold Hawk fall fashion lines.

The show will be presented at Element, in Hollywood, CA on June 9, 2006. The red carpet begins at 9:00 PM, with the runway show following. The fashion show, by invitation only, brings together on one runway tag+ jeans, created under the watchful eye of head designer Iskander Lemseffer, and Gold Hawk, created and designed by Michele Dahan, two of the industries most influential designers, and is paired with up to 20 of Warning's leading models. The show is co-sponsored by Svedka Vodka and Berry's Cafe and hosted by Anouar Productions, ENG PR, Lucas, Herman and Edwin Borques. Both national and international presses are invited to cover the event.

The show will feature Gold Hawk tops as well as tag+ jean bottoms. The jean line includes twisted-leg, cowboy and Western and are targeted toward the 20-45 year old consumer. The jeans feature distressed and stretch jeans for perfect fits. Some of the jeans are studded with shimmering Swarovski crystals. They retail from $165.00 to $900.00. The apparel lines are sold in boutiques world wide as well as Saks Fifth Avenue, Neiman Marcus, Nordstrom and other retail clothiers.

LOS ANGELES, March 29, 2006 (PRIMEZONE) -- Warning Management Services, Inc. (Other OTC:WNMI.PK - News) today announced that it has signed a binding letter of intent for the acquisition of all of the outstanding shares of capital stock of Uber Inc., a Louisiana corporation.

Uber Inc. operating units include Uber models, The Speed Magazine, Uber Girls and Uber Vintage Clothing.

``We are pleased to announce the signing of this letter of intent with Uber Inc.,'' said Brian Bonar, Warning's CEO. ``We anticipate the acquisition of Uber will significantly increase Warning's national exposure through their magazines and web presence in both the modeling and clothing industries,'' he added. ``The acquisition is expected be completed upon Warning's final due diligence of the value of Uber's assets, current and anticipated business operations and business plan review. While it is anticipated that the signing of the definitive agreements will occur late in March, or early in April, 2006, the company can give no assurance of when and if there will be a definitive closing.''
